Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and PEROMNIA LLC ("PEROMNIA," "we," "us," or "our"), which operates the Scalesco Ventures brand, the website at scalescoventures.com, and the related software platform and services (together, the "Services").
By accessing the website, submitting an inquiry, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you are agreeing on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
Our services
We build and validate software systems for business clients. This includes trading infrastructure and execution architecture, autonomous operations tooling, dashboards and monitoring, lead generation systems, content operations tooling, and independent quantitative audits of trading strategies.
The website itself is informational. Nothing on it is an offer to manage money, to trade on your behalf, or to provide a security, and no engagement exists until we have both signed a written agreement or otherwise confirmed scope in writing.
Eligibility
The Services are intended for businesses and for individuals acting in a business capacity who are at least 18 years old. They are not directed to consumers seeking personal investment products, and they are not intended for anyone barred from receiving them under applicable law or sanctions.
Engagements & fees
Scope, deliverables, timelines, and fees are agreed per engagement and set out in a written proposal or statement of work. Prices are not published on this website because scope depends on your stack, your data, and what you need established. A quote is valid for the period stated in it.
Unless a signed agreement says otherwise: invoices are payable within the period stated on the invoice; fees are exclusive of taxes, which you are responsible for; and work already performed remains payable if an engagement is cancelled partway through. Where an engagement is a recurring service, either party may end it in line with the notice period in that agreement.
Communications & SMS
By contacting us or entering into an engagement, you agree that we may communicate with you electronically, including by email and, where you have opted in, by text message. Providing a mobile number is optional, and opting in to text messages is never required in order to buy anything from us.
By submitting your phone number, you authorize PEROMNIA LLC to send automated B2B account updates, system alerts, and software demo notifications. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to cancel at any time, or HELP for customer support.
Frequency, opt-out, and support
Message frequency varies with the activity on your account and the systems we operate for you. Reply STOP to any message to stop further messages to that number; you will receive one confirmation and nothing after that unless you opt in again. Reply HELP, or email admin@peromnia.co, for support. Carriers are not liable for delayed or undelivered messages. How we handle mobile information is set out in our Privacy Policy.
No financial advice, no guarantee of results
This is the most important section of these Terms. Read it before engaging us for anything involving markets.
PEROMNIA LLC is a software and research firm. We are not a broker-dealer, investment adviser, commodity trading advisor, or fiduciary, and we are not registered as any of those. Nothing we publish, build, or deliver is investment advice, a recommendation to buy or sell any asset, or a solicitation to invest.
Trading carries substantial risk, including total loss of capital. Past performance, backtested results, and simulated results do not predict future results, and simulated results carry inherent limitations because they are produced with hindsight. Any system we build or audit for you is operated at your own risk and under your own decisions.
An audit reports whether a strategy clears a stated evidence standard on the data examined. It is not a prediction, a guarantee of profitability, or an endorsement, and a favorable verdict does not mean a system will make money.
Acceptable use
When using the Services, you agree not to:
- Break the law, or use the Services to facilitate market manipulation, fraud, or money laundering.
- Attempt to gain unauthorized access to our systems, probe or scan our infrastructure, or interfere with its operation.
- Introduce malware, or use automated means to scrape or overload the website.
- Resell, sublicense, or white-label our deliverables without written permission.
- Misrepresent our work, or present an audit verdict as an endorsement or a performance guarantee.
- Submit another person's personal information, including a mobile number, without their permission.
Intellectual property
We retain ownership of our pre-existing tools, frameworks, libraries, methods, and know-how, including our audit framework and any general improvements to it. On full payment, you receive ownership of, or a perpetual license to, the specific deliverables built for you, as set out in your engagement agreement.
The Scalesco and Scalesco Ventures names, the PEROMNIA name, our logos, and the content of this website are ours and may not be used without written permission. You may not remove proprietary notices from anything we deliver.
Confidentiality
Each party agrees to protect the other's confidential information with at least reasonable care and to use it only for the engagement. This does not apply to information that is public through no fault of the receiving party, was already known without a duty of confidence, or must be disclosed by law — in which case the disclosing party will be given notice where legally permitted.
We treat client strategies, positions, data, and results as confidential, and we do not name clients publicly without permission.
Third-party services
The Services may connect to or depend on third parties, including exchanges, brokers, data providers, messaging carriers, and hosting providers. We do not control those parties and are not responsible for their acts, outages, pricing changes, data errors, or termination of access. Your use of a third-party service is governed by that party's terms.
Disclaimers
Except where expressly stated in a signed agreement, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or secure, that defects will be corrected, or that any result, outcome, or profit will be achieved. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
Limitation of liability
To the maximum extent permitted by law, PEROMNIA LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost trading opportunity, trading losses, lost data, or business interruption, arising out of or relating to the Services — even if we were advised such damages were possible.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars (US$100).
These limits apply regardless of the theory of liability and are a fundamental basis of the bargain between us. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or willful misconduct.
Indemnification
You agree to indemnify and hold harmless PEROMNIA LLC and its members, officers, and contractors from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your violation of law or of any third party's rights, or your trading and investment decisions.
Term & termination
These Terms apply while you use the Services. We may suspend or terminate access immediately, without notice, if you breach these Terms, if we are required to by law, or if continued provision would expose us or our clients to risk. You may stop using the Services at any time.
Sections that by their nature should survive termination do survive it, including intellectual property, confidentiality, the risk notice, disclaimers, limitation of liability, indemnification, and governing law.
Governing law & disputes
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. You and PEROMNIA LLC agree to the exclusive jurisdiction of the state and federal courts located in Illinois for any dispute not otherwise resolved.
Before filing anything, both parties agree to attempt to resolve the dispute in good faith by contacting the other in writing and allowing thirty days to respond. Each party waives any right to bring a claim as a class action.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated where we have a way to reach you. Continued use of the Services after an update means you accept the revised Terms. If you do not accept them, stop using the Services.
